Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Shine website, platform, and related services ("Services"), operated by Shine ("Shine," "we," "our," or "us").

By creating an account, using the Services, or continuing to access the platform, you agree to these Terms. If you do not agree, do not use Shine.

1. Eligibility & Accounts

1.1 Eligibility

You must be at least 18 years old and have the authority to enter into a binding contract to use Shine.

1.2 Account Registration

You agree to provide accurate information and keep it up to date.

You are responsible for maintaining account security and for all actions taken under your account.

1.3 Authorized Users

If your company creates multiple seats, you are responsible for ensuring all users comply with these Terms.

2. Customer Content

Shine enables you to upload recordings, collect interviews, generate transcripts, extract claims, and create marketing assets ("Customer Content").

2.1 Ownership

You own all Customer Content.

Shine does not claim ownership over recordings, transcripts, claims, or generated assets.

2.2 License to Shine

To operate the Services, you grant us a limited, revocable, worldwide, non-exclusive license to:

  • Store, process, and analyze Customer Content
  • Generate derivatives (transcripts, claims, clips, PDFs, tiles, review text)
  • Maintain audit logs, consent data, and asset lineage
  • Provide support, debugging, and quality improvements

We do not use Customer Content to train general-purpose AI models.

2.3 Accuracy

You are responsible for ensuring Customer Content is accurate and lawfully obtained.

3. Consent & Permissions

3.1 Consent Required

You must have all necessary rights and permissions to upload content, including:

  • Interviewee consent
  • Rights to publish or distribute testimonials, quotes, video clips, and claims
  • Compliance with applicable laws and review-platform policies

Shine provides tools to collect consent but is not responsible for your compliance obligations.

3.2 Revocation

If a participant revokes consent, Shine will:

  • Log the revocation
  • Flag affected assets
  • Prevent further use within the platform

You are responsible for ceasing external use of that content.

4. Use of AI Features

Shine uses AI to:

  • Transcribe recordings
  • Extract claims
  • Suggest edits or summaries
  • Generate copy and narrative structures

You understand and agree:

  • AI outputs may contain inaccuracies
  • You must review and approve all claims and content before publishing
  • Shine is not liable for errors in AI-generated outputs

5. Acceptable Use

You agree not to:

  • Upload unlawful, discriminatory, or harmful content
  • Interfere with the platform's operation
  • Attempt to reverse engineer or exploit the system
  • Misrepresent individuals in generated assets
  • Use Shine to impersonate or defraud others
  • Use Shine to generate false claims or manipulate evidence

We may suspend or terminate accounts violating these rules.

6. Third-Party Services

Shine may integrate with third-party tools such as:

  • CRMs
  • AI model providers
  • Cloud storage services
  • Review platforms
  • Calendar and email tools

These tools have their own terms. Shine is not responsible for third-party failures or data practices.

7. Intellectual Property

7.1 Shine IP

All platform components, including:

  • Software
  • UI/UX
  • Templates
  • Generated layouts
  • Proof Ledger schema
  • Brand materials

…are owned by Shine. No rights are transferred to you except as permitted by these Terms.

7.2 Feedback

If you provide ideas, suggestions, or feedback, you grant Shine a perpetual, royalty-free license to use it.

8. Billing & Subscriptions

If you subscribe to a paid plan:

  • Fees recur automatically unless canceled
  • You are responsible for seat usage and variable credits
  • All fees are non-refundable except under our 14-day money-back guarantee or as required by law
  • We may change pricing with notice

If fees are unpaid, we may suspend access to the platform.

9. Confidentiality

Both parties agree to:

  • Protect each other's confidential information
  • Use it only as needed to provide or receive the Services
  • Not disclose it without permission

This includes Customer Content, business strategies, and non-public information.

10. Security

We implement industry-standard safeguards but cannot guarantee absolute security. You are responsible for protecting your credentials and devices.

11. Data Processing & Privacy

Your use of Shine is governed by our Privacy Policy, which explains:

  • What data we collect
  • How we process Customer Content
  • Cookies and tracking
  • GDPR/CCPA rights

You agree to the Privacy Policy when using the Services.

12. Termination

12.1 By You

You may stop using Shine at any time.

You may request deletion of your account and Customer Content.

12.2 By Shine

We may suspend or terminate your account if:

  • You violate these Terms
  • Your actions create risk or legal exposure
  • Payment is not received (for paid plans)

We may also discontinue the Services with reasonable notice.

13. Disclaimers

Shine is provided "as is" and "as available".

We do not guarantee:

  • AI accuracy
  • Error-free operation
  • Availability of specific features
  • That outputs will meet review-site guidelines

To the maximum extent permitted by law, we disclaim all warranties.

14. Limitation of Liability

To the fullest extent permitted by law:

  • Shine is not liable for indirect, incidental, or consequential damages.
  • Our total liability is capped at the greater of $100 or the amount you paid in the last 12 months.
  • Shine is not responsible for publication, distribution, or misuse of Customer Content outside the platform.

Some jurisdictions may not allow certain limitations.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of Delaware, without regard to conflict of law principles.

Any disputes will be resolved through:

  • Informal negotiation, then
  • Binding arbitration, unless prohibited by law

You waive the right to participate in class actions.

16. Changes to These Terms

We may update these Terms occasionally. If changes are material, we will notify you via email or in-app notice.

Continued use of the platform means you accept the updated Terms.
